Conditions of Sale
Acceptance of an order for the supply of goods will be subject to “the Companies” conditions of sale, any variation of these conditions in the buyers order are invalid unless agreed by ESE in writing.
1. Prices
Prices quoted are Carriage paid UK mainland (excluding highlands and islands) and EXCLUSIVE of VAT
Whilst we shall endeavour to maintain the prices shown, this we cannot guarantee and we reserve the right to charge the price ruling at date of order. In the event of a price alteration, notification of such alteration will be made prior to the despatch of goods.
To keep all prices competitive, orders under £50 in value may be subject to a £5.00 handling charge.
2. Orders / Specifications
No Order submitted by the buyer shall be deemed to be accepted until confirmed in writing by “the Company” and any subsequent amendments must also be confirmed by the buyer in writing. Due to continual design and manufacturing improvements, strict accuracy of specifications, colours, sizes, weights and illustrations cannot be guaranteed. “the Company” reserves the right to change specification without formal notice.
If you require specific colours, sizes, weights, specifications to suit your needs or fixed delivery dates please mark clearly on your order or ask for clarification.
We will acknowledge your order after receipt (normal working hours mon-fri 8.30-5.30) with a confirmed cost / anticipated delivery date.
If this is not acceptable, contact us by return, we will try to resolve any issues to your full satisfaction and if we cannot, you can cancel your order without charge prior to despatch of goods (unless made to order products).
Some products are supplied with minor assembly required to keep transport costs down, product weights / sizes referred to are approximate and any stated load capacities are for evenly distributed loads and must not be exceeded.
3. Delivery
Delivery lead times are estimates of the average normal delivery and “the Company” shall not be liable for any loss or damage resulting from any delay in delivery, if you require a specific delivery time / date please contact us.
“the Company” reserves the right to part deliver Goods, with each part being treated as a separate contract.
Goods will usually be delivered to goods inwards or reception and always to the ground floor (unless previously agreed in writing). Further transfer or installation particularly for large or heavy items can be arranged prior to delivery for an extra charge.
You or your authorised person must be present to receive and sign for delivery of the goods, any failed delivery attempts may result in a return delivery charge.
ESE cannot accept responsibility for claims for shortage or damage after the goods have been signed for, unless the carrier’s notes have been signed “unexamined” and any damage or shortage notified in writing to ESE within 3 days of delivery.
Total non delivery due to loss in transit must be notified to ESE within 7 days of date of invoice.
4. Return of Goods
Standard goods will only be accepted for return after prior agreement with us within 10 days of receipt. For non faulty goods “the Company” reserves the right to charge a restocking fee, which is dependent on the saleable condition of the goods when returned. Carriage for the outward journey and the return of goods are also payable by the purchaser.
Bespoke goods manufactured specially for the buyer or his customer, are not eligible for return.
5. Warranties / Liabilities
All our products have a minimum 12 month warranty, some products have up to a 10 year warranty.
ESE shall not be held liable for any matter which results from an act of God, Terrorism, War or Riot, Sabotage, Extreme Weather, Strikes or any other events beyond our control. Goods are not sold for any particular purpose, the end user should determine the suitability of the product for its use.
“the Company” shall not be liable for any indirect or consequential loss arising out of or in connection with the display of, offer for sale or the sale of Goods.
6. Consumer Protection
Clause 6 only applies where the Goods are sold under a Consumer transaction (as defined by the Sale of Goods Act 1979). Your statutory rights are not affected by the provision of this clause.
All Goods sold by us in accordance with these Conditions benefit from the protection granted to consumers by the EC Directive on Certain Aspects of the Sale of Consumer Goods and Associated Guarantees.
You have the right to cancel the contract upon notice and return the Goods to us (at your expense) to our address within ten working days starting the day after delivery.
This right does not apply to any Goods made or supplied to your specific requirements or personalised in any way.
If you exercise your right in accordance with this clause, we shall provide you with a full refund less any direct costs of transport or damage caused to the Goods within 30 days of cancellation.
7. Reservation of Title
Title of the Goods shall not pass to the buyer until the buyer has paid ESE in full.
In the event of sale of the Goods by the Buyer to a third party “the Company” reserves title to the proceeds of sale.
All risk and responsibility for safe keeping, maintenance and insurance passes to the buyer upon delivery.
8. Copyright
“the Company” does not necessarily own the images, codes, IPR or trademarks etc of goods from their guest suppliers. The display of or sale of goods by “the Company” is done so in good faith and the so doing shall not transfer or affect ownership of the Intellectual Property Rights / Trademarks etc of the Goods or render “the Company” liable for any event.
